1. Agreement to Terms#

By accessing and using SPH services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.

2. Description of Service#

SPH (Software Project Hub) provides software consultancy services and Software-as-a-Service (SaaS) solutions. Our services include but are not limited to:

  • Custom software development
  • Technical consulting and architecture guidance
  • SaaS platform access and usage
  • Educational content and resources

3. User Accounts#

Registration#

  • You must provide accurate and complete information when creating an account
  • You are responsible for maintaining the confidentiality of your account credentials
  • You must notify us immediately of any unauthorized use of your account

Account Responsibilities#

  • You are responsible for all activities that occur under your account
  • You must not share your account with others
  • You must use the service in compliance with all applicable laws

4. Acceptable Use#

You agree not to:

  • Use the service for any unlawful purpose
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the service
  • Upload or transmit malicious code or content
  • Violate any intellectual property rights
  • Harass or abuse other users or our staff

5. Intellectual Property#

  • All content and materials provided by SPH remain our intellectual property
  • You retain ownership of content you create using our services
  • You grant us a license to use your content as necessary to provide our services
  • You may not reproduce, distribute, or create derivative works from our proprietary content without permission

6. Payment Terms#

SaaS Services#

  • Subscription fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable unless otherwise specified
  • We reserve the right to change pricing with 30 days notice

Consulting Services#

  • Consulting fees are agreed upon in separate contracts
  • Payment terms will be specified in individual service agreements

7. Privacy and Data Protection#

Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and protect your information.

8. Service Availability#

  • We strive to maintain high service availability but cannot guarantee 100% uptime
  • Scheduled maintenance will be announced in advance when possible
  • We are not liable for service interruptions beyond our control

9. Limitation of Liability#

To the maximum extent permitted by law:

  • SPH shall not be liable for any indirect, incidental, special, or consequential damages
  • Our total liability shall not exceed the amount paid by you for the service in the 12 months preceding the claim
  • We provide services "as is" without warranties of any kind

10. Indemnification#

You agree to indemnify and hold SPH harmless from any claims, damages, or expenses arising from your use of our services or violation of these terms.

11. Termination#

  • Either party may terminate the agreement with appropriate notice
  • We may suspend or terminate your access immediately for violations of these terms
  • Upon termination, you must cease using our services and may lose access to your data

12. Changes to Terms#

We reserve the right to modify these terms at any time. Material changes will be communicated via:

  • Email notification to registered users
  • Notice on our website
  • In-app notifications for SaaS users

Continued use of our services after changes constitutes acceptance of the new terms.

13. Governing Law#

These terms are governed by German law. Any disputes shall be resolved in the courts of Berlin, Germany.
